If for any reason we need to pass on your information to a third party not listed above, we will require prior approval in writing from you in the first instance. We will not pass on any of your information to any third party not listed above without your written consent.

You have the right to ask for a copy of any personal information we hold about you, and to ask for it to be corrected if you think it is wrong.

General Terms & Conditions

The following document outlines Young Enterprise Trust’s (“Young Enterprise”, “we”, “our”) terms and conditions. Young Enterprise Trust owns and operates www.youngenterprise.org.nz (the “website”) and the services and resources offered on the website.

1. Registration & Security

1.1 Becoming a member: Becoming a member is free for all New Zealand-based teachers and students. You may only register as a member if you are resident in New Zealand and are of legal age to form a binding contract (or, if you are a minor, you have your parent's or legal guardian’s permission to use the Services, and that your parent or legal guardian has read and agrees to this Agreement on your behalf).

1.2 Accurate Info: You must provide complete, accurate and current personal information when registering as a member. You must maintain and update your personal information held by Young Enterprise to ensure it is kept current at all times. Young Enterprise may phone or mail you to verify these details. You must not register as a member under multiple identities or personas (whether false or not).

1.3 Security of login information: You are responsible for keeping your login information, including your email address and password, secret and secure. Without limiting the foregoing, you agree: a. not to permit any other person to use your user name or membership; and b. not to disclose, or provide to any other person, your password, email address, date of birth or any other information in connection with your membership that may allow them to gain access to your membership. c. to ensure your computer system has appropriate anti-virus software installed.

1.4 Termination of membership: Young Enterprise reserves the right to decline to register or to terminate your membership without entering into further discussions with you. Without limiting the foregoing, we may terminate your membership if a serious complaint or multiple complaints are received about you from other members, if you breach these terms and conditions, if you impersonate another member, or if we, at our sole discretion, deem your behaviour to be unacceptable.

2. Intellectual property & Use of website

2.1 Website and Content: The content displayed on this website (including, but not limited to text, graphics, articles, photographs, images, illustrations) are intended solely for non-commercial educational use and may only be used in accordance with the terms of this Agreement. All content is protected by intellectual property rights, including copyright.

2.2 Copyright: All resources available on this website are copyright © Young Enterprise. No part of any resource may be reprinted or reproduced or utilized in any form or by electronic, mechanical, or other means (including photocopying and recording, or in any information storage or retrieval system), without permission in writing from the Young Enterprise Trust unless such is undertaken by the school to which this resource has been issued for the purpose of delivering enterprise or financial literacy education.

2.3 Disclaimer: Young Enterprise cannot be responsible for any liability whatsoever (whether arising in contract, tort (including negligence), equity or breach of statutory duty) arising directly or indirectly from any classroom enterprise or any other activity forming part of Young Enterprise’s programmes and resources.

2.4 Third Parties: The website may contain links to third party websites that are not owned or controlled by Young Enterprise, and include features that allow you to interact and communicate with third parties. When you access third party websites or interact or communicate with third parties through this website, you do so at your own risk. Young Enterprise encourages you to be aware when you leave this website and to read the terms and privacy policy of each third party website that you visit. We have no control over, and assume no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites.. In addition, Young Enterprise will not and cannot monitor, verify, censor or edit the content of any third party site. Your interactions with organisations and/or individuals found on or through this website, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organisations and/or individuals.

2.5 System Integrity: Young Enterprise will use its reasonable endeavours to ensure the availability of this website, subject to any downtime required for maintenance. However, Young Enterprise takes no responsibility for any system unavailability, or for any loss that is incurred as a result of the website being unavailable. Further, Young Enterprise assumes no responsibility for the corruption of any data or information held.

3. Communication

3.1 Emails and newsletters: Young Enterprise will send you emails relating to your membership, use of resources and other activities on the website, and for promoting and marketing other Young Enterprise products, services and events to you. Young Enterprise may also send regular electronic newsletters to members. Newsletters will contain clear and obvious instructions for how you can unsubscribe from the mailing list.

3.2 Social Media Features: Young Enterprise may, now or in the future, incorporate certain functions that allow you to interact with this website through your accounts on certain third party services, such as social networks which offer ‘Like’ or ‘Share’ functions or similar features (“Third Party Account”). If you choose to use such features, you grant Young Enterprise permission to access and use your Third Party Account for the purpose of processing your requests. Your use of the Third Party Account is subject to the applicable third party terms.

4. Privacy

4.1 Collection of information: Young Enterprise may gather the following types of information about users including you ('you'):

1. personal information provided by you when you interact with us, such as when you use or download our content and/or resources, attend an event being run by us and when you provide us with your feedback or respond to surveys you are asked to participate in.

NSN Numbers (From students participating in The Lion Foundation Young Enterprise Scheme programme as a part of NCEA, and from students participating in relevant feeder programmes)

Passport Numbers (from students going in overseas trips with Young Enterprise)

Teacher Registration Numbers (from all teachers wishing to access our free teaching resources, or register their students for any Young Enterprise programmes and events).

2. aggregated information generated by our website or third party systems we use, which track traffic to and from our sites but does not relate to you personally; and

3. other information that does not personally identify you.

We collect your personal information in order to:

to run experiential learning programmes for school students

report to our sponsors and funders about how their financial support is used

promote our programmes, events and resources

5. Agreement to terms

5.1 Your Warranty: You warrant, represent and agree that you will not use the website in a manner that: a. infringes or violates the intellectual property rights, privacy rights, or other rights of any third party; b. violates any law, statute, ordinance or regulation or which would render Young Enterprise in violation of any applicable laws or regulations; c. is harmful, fraudulent, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise objectionable; or d. jeopardises the security of your account in any way, such as allowing someone else access to your account or password. Young Enterprise reserves the right to remove any content from the website at any time, for any reason, or for no reason at all.

5.2 Amendments: Young Enterprise reserves the right to change or update these Terms & Conditions at any time without notice. By continuing to access the website, you agree to be bound by the Amendments.

5.3 Governing law: These Terms & Conditions are governed by and will be construed in accordance with the laws of New Zealand and you submit to the jurisdiction of the courts of New Zealand without regard to conflicts of law principles. To the fullest extent permitted by law, Young Enterprise is not responsible for the compliance of the website, or the material contained in them, with the laws of any other country.

5.4 Breach of Conditions of Use: Any breach of the conditions of use will be dealt with in a manner appropriate to the seriousness of the breach. Access to online services will normally be revoked during this investigative period and each incident will be considered on a case-by-case basis.

5.5 Indemnity: You indemnify and hold Young Enterprise, its affiliates, officers, and employees harmless (including, without limitation, from all damages, liabilities, settlements, costs and legal fees) from any claim or demand made by any third party due to or arising out of: a. your access to the website, use or misuse of the website; b. your violation of this Agreement (including any failure to obtain or provide any necessary consent and/or violation of applicable laws or regulations); or c. the infringement by you or any third party using your account of any intellectual property or other right of any person or entity.

5.6 Termination: This Agreement shall remain in full force and effect while you use the Service. You may terminate your use of the website or your account at any time by emailing support@youngenterprise.org.nz. Upon termination of your account, your right to use the website, and any content or resources will immediately cease. All provisions of this Agreement (including this section) which, by their nature, should survive termination, shall survive termination, including without limitation: ownership provisions, warranty disclaimers, indemnity provisions, and limitations of liability.

5.7 Force Majeure: Without prejudice, Young Enterprise has no liability for any lack of performance, unavailability or failure of the website, or for any failure of Young Enterprise to comply with these terms and conditions where the same arises from any cause reasonably beyond our control.

5.8 No waiver: If we do not exercise or enforce any right available to us under these terms and conditions, it does not constitute a waiver of those rights.

Schools delivering The Lion Foundation Young Enterprise Scheme undertake to:

Schools delivering The Lion Foundation Young Enterprise Scheme undertake to:

• Register students with Young Enterprise by due dates

• Collect student fees where required and return to Young Enterprise in a timely manner

• Deliver YES as per the structure outlined by Young Enterprise

• Deliver and manage qualification pathways including:

      o Delivery, assessment and registration of NCEA credits

      o Credit equivalence management via YES micro-credential verification

• The YES Company Constitution – Go through the YES Company Constitution with your students, so they understand how the business rules are set up – who owns what, and how decisions can be formally made

• The school accepts responsibility for student safety and supervision, including the choice of mentors and business experts, any applicable statutory responsibilities and the relationships with mentors and business experts

Please note:

All YES companies operate within the conditions of the YES Company Constitution as “Virtual Companies.”  School rules apply to the activities of the YES students and schools have final approval of products and services produced by student companies.

Sharing of information – Young Enterprise may share student and teacher contact information with our regional delivery partners who have been contracted to deliver the programme in their region.

Use of photographs – Young Enterprise, its regional delivery partners, and its sponsors are authorised to use photographs and/or videos of the YES Virtual Company and its student participants for promotional purposes such as in brochures, advertisements, newsletters, annual reports, social media and for general publicity purposes if those photographs and/or videos are:

• Taken by Young Enterprise Trust staff, contractors or regional coordinators at any YES event

• Provided to Young Enterprise Trust by the YES Virtual Company student participants

• Provided to Young Enterprise Trust by the School or the YES Teacher

• Posted on social media by student participants in the YES Virtual Company

Young Enterprise undertakes to:

• Make the course descriptions, content and accreditations freely available to registered teachers

• Maintain resources on an annual basis

• Provide communication and central support, including guidance on delivery of The Lion Foundation Young Enterprise Scheme

• Maintain a Regional Coordinator network to provide events and business networking for The Lion Foundation Young Enterprise Scheme
